What does Equity Financing mean?

Equity Financing refers to a method of funding a film, television, or entertainment production in which investors provide capital in exchange for an ownership stake — equity — in the production rather than a loan that must be repaid. Equity investors participate in the production’s financial success or failure as owners, receiving a share of profits after costs are recouped rather than a fixed interest payment. Most independent film financing combines equity financing from private investors with debt financing, pre-sales, tax credits, and other funding sources. The structure of equity financing — how ownership is divided and how profits are distributed — is one of the most negotiated aspects of independent film deals.

Example:The independent producer raised the film’s budget through equity financing from three private investors, each of whom received a percentage ownership stake in the production in proportion to their investment — sharing in the upside if the film performed commercially and in the loss if it did not.
Example: The entertainment attorney structured the equity financing agreement carefully, ensuring that the investors’ recoupment order and profit participation percentages were clearly defined before any of the parties committed to the deal.
